By using the Red Lobster site (the “Site”) you are agreeing to be bound by the following Terms and Conditions.

Gift Card Terms and Conditions

This Gift Card is issued by and represents an obligation of GMRI, Inc. ("GMRI"). Each time you use it, we'll deduct that amount from the balance until you've used the full balance of the card. You can add to the card balance at any time. (1) Except where required by law, this gift card is not redeemable for cash. (2) We can't replace it if it's lost or stolen. (3) It may also be used at any Olive Garden, Bahama Breeze, Seasons 52 or any other Darden restaurant. (4) GMRI approval required to advertise this card. (5) Valid in U.S. only.

Terms and Conditions

1. The trademark Red Lobster® as well as certain logos and other marks used in the Site (the “Marks”) are owned by Darden Concepts, Inc., a wholly owned subsidiary of Darden Restaurants, Inc., and used under license by its affiliated companies. You may not use the Marks displayed on this Site, or any other content on the Site, except as provided in these Terms and Conditions. Any other use is strictly prohibited and Darden Concepts, Inc. will take all necessary action to enforce its rights.
2. You should assume that everything you see or read on this Site is copyrighted and may not be used except as provided in these Terms and Conditions. You may download one copy of the contents of the Site to one computer for your personal and noncommercial home use provided you do not change any copyright, trademark or other proprietary notice. If you modify or use the materials for any other purpose, you will be violating the intellectual property rights of Darden Concepts, Inc. which it vigorously protects.
3. The Site provides you an opportunity to communicate with us. Please be aware that any communication, whether it be suggestions, ideas, graphics or other material to Red Lobster through the Site or otherwise will be treated as nonconfidential and nonproprietary. Anything you submit, transmit, or post becomes the property of Darden Restaurants, Inc., or its affiliates (hereinafter "Darden") and Darden is free to use, without being limited thereto, any ideas, concepts, suggestions, graphics, photography or know-how contained in any communication for any purpose whatsoever, whether commercial or noncommercial, without payment of any compensation to you.
4. Red Lobster has used reasonable efforts to include accurate and up-to-date information on the Site; however, it makes no warranties or representation as to the accuracy of its contents. Neither Red Lobster nor Darden assume any liability or responsibility for any errors or omissions in the contents of the Site.
5. This Site and all content, included or available therein, are provided "As Is" and "As Available" with all faults. THE CONTENT IS PROVIDED WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, SECURITY AND ACCURACY (ALL OF WHICH ARE DISCLAIMED). Red Lobster does not represent or warrant that your use of the Site will be uninterrupted, error free, secure, free of viruses or other harmful components, or that any content is accurate or correct. Your use of this Site is solely at your own risk. Because some jurisdictions do not permit the exclusions of certain warranties some of these exclusions may not apply to you. Under no circumstance shall Red Lobster, its parent, subsidiaries or affiliates and each of the foregoing directors, officers, employees, agents, contractors, counsel, successors and assigns be liable for any damages or injury whether direct, indirect, punitive, incidental, special or consequential that results from the use of or inability to use this Site or any portion thereof including, without being limited thereto, any offering that may be made therein. This limitation of liability applies whether the alleged liability is based on contract, tort, negligence, strict liability or any other basis, even if Red Lobster had been advised of the possibility of such liability. The total liability of Red Lobster to you for all losses, damages and causes of action (in contract, tort, including without limitation, negligence or otherwise) will not be greater than the amount you paid to access the Site. You may bring no claim against Red Lobster more than one (1) year after the action arose. Because some jurisdictions do not allow the exclusion of incidental or consequential damages the liability of Red Lobster in such jurisdiction shall be limited to the extent permit by the law thereunder.
6. Red Lobster makes no representation about any other site that you may access through its Site and is not responsible for the contents of any other site. Unless expressly stated, Red Lobster does not endorse any products or services offered by any company or person linked to its Site. You may not create a link to the Site without first obtaining its written permission.
7. You are prohibited from posting or transmitting any unlawful, threatening, libelous, defamatory, obscene, scandalous, inflammatory, pornographic or profane material or any material that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any laws. Red Lobster will fully cooperate with any law enforcement authorities or court order requesting or directing it to disclose the identity of anyone posting any such information or materials.
8. This Site is controlled by Darden from its offices within the United States of America. Red Lobster makes no representation that all of the contents of the Site are appropriate or available for use in other locations, and access to the Site is prohibited from locations where some or all of the content is illegal. If you choose to access this site from other locations, you do so on your own initiative and you are responsible for compliance with applicable local laws. You may not use or export any contents of the Site in violation of U.S. export laws and regulations. Any claim relating to the Site content shall be governed by the internal substantive laws of the State of Florida without regard to its conflict of law principles. You agree and hereby submit to the exclusive personal jurisdiction and venue of the Federal and State Courts located in Orange County, Florida, USA.
9. Any failure by Red Lobster to enforce any of its rights under these Terms and Conditions or under applicable law shall not constitute a waiver of such rights. If any provision of the Terms and Conditions shall be deemed unlawful by a court of competent jurisdiction, or for any reason unenforceable, then that provision shall be deemed severed from these Terms and Conditions and shall not affect the validity and enforceability of any remaining provisions hereunder. These terms and conditions contain the entire agreement between you and Red Lobster relating to your use of the Site.
10. Red Lobster may, at any time, revise these Terms and Conditions by updating this posting. You are bound by any such revisions and should therefore periodically visit this page to review the then current Terms and Conditions.

RED LOBSTER’S LOBSTERFEST SWEEKSTAKES OFFICIAL RULES

  1. NO PURCHASE NECESSARY.  Sweepstakes begins at 8:00am EST on March 5, 2010 and concludes at 5:00pm Eastern Standard Time on March 6, 2010. To enter, visit facebook.com/redlobster, and reply to our status with the phrase “Let’s Celebrate.”  One entry per person, per valid Facebook account user.  Subsequent entries from a person or e-mail address will not be eligible for prizes.  By entering, entrants acknowledge compliance with the official rules including eligibility requirements.  Responsibility for receipt of entry rests solely with the entrant. Darden Restaurants, Inc. will not be responsible for technical or human errors in transmission of, or receipt of, telephone calls and/or misscommunication, as well as for technical or human errors in omission, interruption, deletion, defect, delay in operation or transmission, theft, destruction, unauthorized access to, or alterations of, entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof.  Sponsor is also not responsible for injury or damage to entrants or any other person’s computer related to or resulting from playing or downloading any materials in the sweepstakes.  Sponsor reserves the right to cancel or modify the sweepstakes if fraud, technical failures, or any other causes beyond the control of Sponsor compromise the integrity of the sweepstakes as determined by Sponsor in their sole discretion.  No mechanical reproductions will be accepted.  Entries void if incomplete, forged, illegible, or received outside authorized channels.  All entries become property of the Sponsor, GMRI Inc, and will not be returned.  Winner agrees to release sponsor from any liability in connection with the sweepstakes, including privacy.

  2. PRIZE DRAWING.  Three (3) winners will be selected at random on or about March 6, 2010 from among all eligible entries received.  Odds of winning depend on the number of eligible entries received.  Winner agrees to be bound by these rules and the decisions of Darden Restaurants, Inc., whose decisions are final and binding.  Winner will be notified via a facebook.com/redlobster post on or about March 6, 2010.  An Affidavit of Eligibility and Liability/Publicity Release must be signed, dated, and returned by prize winner within seven (7) days of notification attempt.  Prize will not be awarded until the Affidavit is completed.  Failure to return the executed Affidavit within that time will result in forfeiture of prize and random selection of alternate winner from remaining eligible entries.  By accepting the prize, winner and guest consent to the use of their likeness, photograph, name, or voice for advertising and publicity purposes in any and all media worldwide (including winners list) for Red Lobster and Darden Restaurants, Inc. without additional compensation or notification, unless prohibited by law.

  3. TOTAL PRIZES.  Three (3) $100 Red Lobster gift cards.   One prize will be awarded per prize winner. Unclaimed prize will not be awarded.  Other restrictions may apply.  All federal, state, and local taxes on the prize are the sole responsibility of the winner.

  4. CONDITIONS.  Entrants release GMRI, Inc., their directors, employees, divisions, affiliates, officers, subsidiaries, agents, advertising agencies and all others associated with the development and execution of the program, from and against any and all liability with respect to or in any way arising from this sweepstakes and the awarding and use of the prizes, including liability for personal injury. 

  5. ELIGIBILITY.  Sweepstakes open to all residents of the continental United States, age 18 or older.  Employees, of GMRI, Inc., their respective divisions, affiliates, officers, subsidiaries, agents and advertising agencies are ineligible.  Subject to all federal, state, and local laws and regulations and void wherever prohibited or restricted by law.

Katie Glenn.  Winners list will be available after March 8, 2010.  WA and VT residents only may omit return postage.
