These Terms of Use apply to the Darden websites on which we have posted these Terms of Use (collectively, the "Sites"). The Sites are operated by Darden Corporation or our affiliates (collectively, "Darden"). Throughout the Sites, the terms "we," "us" and "our" refer to Darden. Darden offers the Sites, including all information, tools and services available from the Sites, to you, the user, conditioned upon your acceptance of all the terms, conditions, policies and notices stated here. Your use of a Site constitutes your agreement to these Terms of Use.

Accuracy, Completeness and Timeliness of Information on the Sites

Darden is not responsible if information made available on the Sites is not accurate, complete or current. The material on the Sites is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on the Sites is at your own risk. The Sites may contain certain historical information. Historical information necessarily is not current and is provided for your reference only. We reserve the right to modify the contents of the Sites at any time, but we have no obligation to update any information on the Sites. You agree that it is your responsibility to monitor changes to the Sites.

Use of Materials on the Sites

All content on the Sites (including, without limitation, text, design, graphics, logos, icons, images, audio clips, downloads, interfaces, code and software, as well as the selection and arrangement thereof), is the exclusive property of and owned by Darden, its licensors or its content providers and is protected by copyright, trademark and other applicable laws. You may access, copy, download and print the material contained on the Sites for your personal and non-commercial use, provided you do not modify or delete any copyright, trademark or other proprietary notice that appears on the material you access, copy, download or print. Any other use of content on the Sites, including but not limited to the modification, distribution, transmission, performance, broadcast, publication, uploading, licensing, reverse engineering, transfer or sale of, or the creation of derivative works from, any material, information, software, products or services obtained from the Sites, or use of the Sites for purposes competitive to Darden, is expressly prohibited without the prior written consent of Darden. You agree to abide by all additional restrictions displayed on the Sites as it may be updated from time to time. Darden reserves the right to refuse or cancel any person's registration for the Sites, remove any person from the Sites or prohibit any person from using the Sites for any reason whatsoever. Darden, or its licensors or content providers, retain full and complete title to the material provided on the Sites, including all associated intellectual property rights, and provide this material to you under a license that is revocable at any time in Darden's sole discretion. Darden neither warrants nor represents that your use of materials on the Sites will not infringe rights of third parties not affiliated with Darden.

You may not use contact information provided on the Sites for unauthorized purposes, including marketing. You may not use any hardware or software intended to damage or interfere with the proper working of the Sites or to surreptitiously intercept any system, data or personal information from the Sites. You agree not to interrupt or attempt to interrupt the operation of the Sites in any way. Darden reserves the right, in its sole discretion, to limit or terminate your access to or use of the Sites at any time without notice. Termination of your access or use will not waive or affect any other right or relief to which Darden may be entitled at law or in equity.

Materials You Submit

You acknowledge that you are responsible for any material you may submit via the Sites (including any components of the Sites administered by third parties, such as tools that allow you to interact with the Sites through Facebook and other social media platforms), including the legality, reliability, appropriateness, originality and copyright of any such material. You may not upload to, distribute or otherwise publish through the Sites any content that (i) is confidential, proprietary, false, fraudulent, libelous, defamatory, obscene, threatening, invasive of privacy or publicity rights, infringing on intellectual property rights, abusive, illegal or otherwise objectionable; (ii) may constitute or encourage a criminal offense, violate the rights of any party or otherwise give rise to liability or violate any law; or (iii) may contain software viruses, political campaigning, chain letters, mass mailings, or any form of "spam." You may not use a false email address or other identifying information, impersonate any person or entity or otherwise mislead as to the origin of any content. You may not upload commercial content onto the Sites.

If you do submit material, and unless we indicate otherwise, you grant Darden an unrestricted, nonexclusive, royalty-free, perpetual, irrevocable and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute and display such material throughout the world in any media. You further agree that Darden is free to use any ideas, concepts, know-how that you or individuals acting on your behalf provide to Darden. You grant Darden the right to use the name you submit in connection with such material, if they so choose. You represent and warrant that you own or otherwise control all the rights to the content you post; that the content is accurate; that use of the content you supply does not violate any provision herein and will not cause injury to any person or entity; and that you will indemnify Darden for all claims resulting from content you supply.

Conduct on the Sites

Some features that may be available on the Sites require registration. By registering at and in consideration of your use of the Sites you agree to provide true, accurate, current and complete information about yourself.

Some features on the Sites require use of a password. You are responsible for protecting your password. You agree that you will be responsible for any and all statements made, and acts or omissions that occur, through the use of your password. If you have any reason to believe or become aware of any loss, theft or unauthorized use of your password, notify Darden immediately. Darden may assume that any communications Darden receives under your password have been made by you unless Darden receives notice otherwise.

You or third parties acting on your behalf are not allowed to frame the Sites or use our proprietary marks as meta tags, without our written consent. These marks include, but are not limited to, Darden®, Red Lobster®, Olive Garden®, LongHorn Steakhouse®, The Capital Grille®, Bahama Breeze®, Seasons 52®, Eddie V's Prime Seafood®, Wildfish Seafood Grille® and Yard House®. You may not use frames or utilize framing techniques or technology to enclose any content included on the Sites without Darden's express written consent. Further, you may not utilize any Site content in any meta tags or any other "hidden text" techniques or technologies without Darden's express written consent.

Links

The Sites may contain links to other websites, some of which are operated by Darden and others of which are operated by third parties. These links are provided as a convenience to you and as an additional avenue of access to the information contained therein. We have not necessarily reviewed all the information on those other sites and are not responsible for the content of those or any other sites or any products or services that may be offered through those or any other sites. Inclusion of links to other sites should not be viewed as an endorsement of the content of linked sites. Different terms and conditions may apply to your use of any linked sites. Darden is not responsible for any losses, damages or other liabilities incurred as a result of your use of any linked sites.

Trademarks and Copyrights

Trademarks, logos and service marks displayed on the Sites are registered and unregistered trademarks of Darden, its licensors or content providers, or other third parties. All of these trademarks, logos and service marks are the property of their respective owners. Nothing on the Sites shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark, logo or service mark displayed on the Sites without the owner's prior written permission, except as otherwise described herein. Darden reserves all rights not expressly granted in and to the Sites and its content. The Sites and all of its content, including but not limited to text, design, graphics, interfaces and code, and the selection and arrangement thereof, is protected as a compilation under the copyright laws of the United States and other countries.

Infringement Notice

We respect the intellectual property rights of others and request that you do the same. You are hereby informed that Darden has adopted and reasonably implemented a policy that provides for the termination in appropriate circumstances of subscribers and account holders of Darden's system or network who are repeat copyright infringers. To be effective, your notification must (i) be in writing, (ii) be provided to our copyright agent, and (iii) include substantially the following:

  1. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
  2. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online Site are covered by a single notification, a representative list of such works at that Site;
  3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit the service provider to locate the material;

Indemnification

You agree to indemnify, defend and hold harmless Darden and its officers, directors, employees, contractors, agents, licensors, service providers, subcontractors and suppliers from and against any and all losses, liabilities, expenses, damages and costs, including reasonable attorneys' fees and court costs, arising or resulting from your use of the Sites and any violation of these Terms of Use. If you cause a technical disruption of the Sites or the systems transmitting the Sites to you or others, you agree to be responsible for any and all losses, liabilities, expenses, damages and costs, including reasonable attorneys' fees and court costs, arising or resulting from that disruption. Darden reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you and, in such case, you agree to cooperate with Darden in the defense of such matter.

Jurisdiction and Applicable Law

The laws of the State of Florida govern these Terms of Use and your use of the Sites, and you irrevocably consent to the jurisdiction of the courts located in the County of Orange for any action arising out of or relating to these Terms of Use. We recognize that it is possible for you to obtain access to the Sites from any jurisdiction in the world, but we have no practical ability to prevent such access. The Sites have been designed to comply with the laws of the State of Florida and of the United States. If any material on the Sites, or your use of the Sites, is contrary to the laws of the place where you are when you access it, the Sites are not intended for you, and we ask you not to use the Sites. You are responsible for informing yourself of the laws of your jurisdiction and complying with them.

Changes to These Terms of Use

Darden reserves the right in its sole discretion to change, modify, add or remove any portion of these Terms of Use, in whole or in part, at any time, by posting revised terms on the relevant Sites. It is your responsibility to check periodically for any changes we make to the Terms of Use. Revised terms will take effect five days after their publication on the relevant Sites and will apply only on a going-forward basis. Your continued use of the Sites after that point signifies that you accept the changes.

Entire Agreement and Admissibility

This agreement and any policies or operating rules posted on the Sites constitute the entire agreement and understanding between you and Darden with respect to the subject matter thereof and supersede all prior or contemporaneous communications and proposals, whether oral or written, between the parties with respect to such subject matter. A printed version of these Terms of Use shall be admissible in judicial or administrative proceedings based on or relating to use of the Sites to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

Severability

If any provision of this agreement is unlawful, void or unenforceable, the remaining provisions of the agreement will remain in place.

Red Lobster "Lobsterfest" Contest – Official Rules

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS CONTEST. OPEN ONLY TO LEGAL RESIDENTS OF THE FIFTY (50) UNITED STATES AND D.C. WHO ARE AT LEAST 18 YEARS OLD AND HAVE REACHED THE LEGAL AGE OF MAJORITY IN THE JURISDICTION IN WHICH THEY RESIDE. VOID WHERE PROHIBITED. U.S. PROMOTION LAWS GOVERN THIS CONTEST.

  1. ELIGIBILITY: The Red Lobster "Lobsterfest" Contest (the "Contest"), sponsored by GMRI, Inc. ("Sponsor"), is open only to legal residents of the fifty (50) United States and the District of Columbia who as of the date of entry are at least 18 years old and have reached the legal age of majority in the jurisdiction in which they reside. Current employees of Sponsor, Administrator, or any of their subsidiaries, affiliates or advertising, promotion or Internet agencies or prize providers, and members of the household (whether related or not) of any such current employee, are not eligible. Void where prohibited by law.

  2. HOW TO ENTER: The entry period for the Contest begins at 10:00 a.m. Eastern Time (ET) on February 25, 2014 and ends at 10:00 a.m. ET on March 24, 2014 (the "Entry Period"). No purchase is necessary. To enter the Contest, during the Entry Period, access the Sponsor's Facebook page at www.bestlobsterfest.com (the "Website"), "Like" the page if you have not already done so and follow the on-screen entry instructions to submit an entry via the application provided under the Contest tab on the Website. Each entrant will be required to submit his or her name, address, e-mail address, telephone number, date of birth and such other information as Sponsor may require. In addition, each entrant must submit via the application either a photograph (each a "Photograph") or a video (each a "Video") demonstrating why the entrant loves lobster. Each Photograph or Video submitted in the Contest (each photograph or video, a "Submission") must also comply with all of the guidelines set forth in Section 3. There is a limit of one (1) entry per person and per email account per 24 hours. Each Submission must be unique and an entrant cannot submit the same Submission more than once. All entries must be completed and received by Sponsor before 10:00 a.m. ET on March 24, 2014. Proof of submission does not constitute proof of entry. Entry times will be determined using Sponsor's computer, which will be the official clock for the Contest. Normal time rates, if any, charged by the entrant's Internet or mobile service provider will apply. Materials submitted to Sponsor in connection with the Contest will not be returned. All entries are subject to verification at any time. Sponsor will have the right, in its discretion, to require proof of identity and/or eligibility in a form acceptable to Sponsor (including, without limitation, government–issued photo identification). Failure to provide such proof to the satisfaction of Sponsor in a timely manner may result in disqualification.

  3. SUBMISSION GUIDELINES: Each Submission must comply with the following guidelines:

    1. the Submission must be in one of the file formats and within the sizes specified on the Website, if any, and must otherwise comply with the technical specifications provided on the Website, if any;
    2. if the Submission is a Video, the Video must be no longer than 45 seconds (0:45) in duration;
    3. the Submission (including the copyright in the Submission) must be owned by the entrant;
    4. the Submission must not previously have been published or won any award;
    5. if someone other than the entrant captured or recorded the Submission for the entrant, the entrant must obtain from such person written permission to submit the Submission in the Contest and for the Contest Entities (as defined in Section 7) to use the Submission as permitted hereunder;
    6. the Submission must not contain any material that violates or infringes upon the rights of any third party, including without limitation copyrights, trademarks or rights of privacy or publicity, or that is defamatory, threatening, indecent, obscene or offensive, or that is unlawful, in violation of or contrary to any applicable laws or regulations, or whose use by the Contest Entities (as defined in Section 7) requires a license or permission from any third party;
    7. the Submission must not depict or refer to any brand or trademark other than Red Lobster;
    8. if the Submission identifies or depicts any person other than the entrant, the entrant must have prior to submission obtained written consent from such person (or his or her parent or legal guardian, if the person identified or depicted is a minor) to the use by the Contest Entities of the Submission including such person's name, image and/or other identifying information, as applicable, as permitted hereunder; and
    9. the Submission must not contain any material that Sponsor, in its sole discretion, deems inappropriate for public viewing and/or for posting on the Website.

    By submitting a Submission, the entrant represents and warrants that he or she has complied with all of the foregoing requirements and has obtained all permissions, licenses and consents that are necessary for the submission of the Submission and the use of the Submission as permitted pursuant to Section 7 of these Official Rules and to verify compliance with the foregoing requirements. Each entrant agrees to provide to Sponsor at Sponsor's request copies of all such permissions, licenses and consents. Sponsor reserves the right in its sole discretion to disqualify and/or not to post on the Website any Submission that Sponsor determines does not comply with these guidelines, to make such changes to any Submission as are necessary to make it compliant, or to require the entrant to do so. Without limitation of the foregoing, if a Video exceeds forty-five seconds (0:45) in duration, Sponsor will have the right in its sole discretion to disqualify the entrant and/or to have the Judges (as defined below) review only the first forty-five seconds (0:45) of the Video and disregard the remainder of the Video.

    Submissions are not confidential. Sponsor will have the right to exhibit Submissions on the Website and to otherwise make Submissions available publicly as permitted pursuant to these Official Rules.

  4. WINNER SELECTION: One (1) potential Grand Prize winner, ten (10) potential First Prize winners, and one hundred (100) potential Second Prize winners will be selected from among all Submissions submitted in accordance with these Official Rules during the Entry Period. Winners will be selected through a combination of public voting and a judging panel as follows: Public Voting: From approximately February 25, 2014 through March 24, 2014 (the "Public Voting Period"), entrants' Submissions will be posted on the Website for public viewing and judging by Website visitors ("Public Vote"). During the Public Voting Period, Website visitors will be instructed to vote for the Contest winner based on the following criteria, weighted equally: (a) extent to which the Submission expresses the entrant's love of lobster; (b) originality; (c) creativity; and (d) overall impression (the "Public Judging Criteria"). There will be a limit of one (1) vote per person and Facebook account per day during the Public Voting Period. If Sponsor determines or suspects that a single person has submitted votes in excess of the stated daily maximum, or that any votes submitted are illegitimate, the result of fraud or are otherwise suspect (as determined by Sponsor in its discretion), Sponsor will have the right in its discretion to disqualify any or all of the affected votes and/or to take such other actions as it deems appropriate. The use of any automated launching or entry software or any other mechanical or electronic means that permits visitors to vote repeatedly is prohibited. Judges' Selection: Following the conclusion of the Public Voting Period, one (1) potential Grand Prize winner, ten (10) potential First Prize winners, and one hundred (100) potential Second Prize winners will be selected by judges designated by Sponsor (the "Judges") from among all valid and eligible Submissions received during the Entry Period, by applying the following criteria (the "Judging Criteria"), weighted as indicated:

    (a) Extent to which the Submission expresses the entrant's love of lobster (15%);
    (b) Originality (15%);
    (c) Creativity (15%);
    (d) Overall impression (15%); and
    (e) Quantity of votes received in the Public Vote (40%).

    The entrant who submitted the Submission that receives the highest score from the Judges based on the Judging Criteria will be the potential Grand Prize winner, the ten (10) eligible entrants with the next ten highest average scores from the Judges will be the potential First Prize winners, and the one hundred (100) eligible entrants with the next one hundred highest average scores from the Judges will be the potential Second Prize winners. In the event of a tie, the tie will be broken based on the tied entrants' "overall impression" score from the Judges in connection with the application of the Judging Criteria. The winners will be announced on or about April 13, 2014. There is a limit of one winner per household.

  5. WINNER NOTIFICATION AND VERIFICATION: The potential winners will be notified by email (sent to the e-mail address provided by the entrant when entering) and/or telephone, in Sponsor's discretion, between approximately April 7, 2014 and April 10, 2014. Each potential winner is subject to verification. Each potential winner will be required to complete and return to Sponsor an Affidavit of Eligibility and, if legally permissible Publicity/Liability Release (collectively, a "Declaration and Release" for residents of Canada) certifying, among other things, that the Submission complies with the guidelines set forth in Section 3. If a potential winner cannot be reached within seventy-two (72) hours of the initial notification attempt (Sponsor reserves the right not to leave messages on voice mail or answering machines), or fails to respond to any notification attempt within the time period specified by Sponsor, or if any attempted notification or prize delivery is returned as undeliverable, or if a potential winner fails to complete and return any required documentation within three (3) days of attempted delivery of same, or if a potential winner does not otherwise comply with these Official Rules and/or cannot accept the applicable prize as awarded for any reason, the potential winner may in Sponsor's discretion be disqualified and another winner may be selected (based on the next highest score) at the sole discretion of the Sponsor (in which case the foregoing provisions will apply to such newly-selected entrant).

  6. PRIZES: Grand Prize. One (1) Grand Prize will be offered. The Grand Prize is $5,000 (awarded in the currency of the winner's jurisdiction of residence and in the form of a check or another payment method designated by Sponsor) and a Red Lobster eGift card or physical gift card (as determined by Sponsor in its discretion) with a face value of $1,100. The approximate retail value ("ARV") of the Grand Prize is $6,100.00. First Prizes: Ten (10) First Prizes will be offered. Each First Prize consists of a Red Lobster t-shirt and a Red Lobster eGift card or physical gift card (as determined by Sponsor in its discretion) with a face value of $100. All prize details (including the size, color, and design of each t-shirt) will be determined by Sponsor in its discretion. The ARV of each first prize is $108.00. Second Prizes: One Hundred (100) Second Prizes will be offered. Each Second Prize consists of a Red Lobster t-shirt. All prize details (including the size, color, and design of each t-shirt) will be determined by Sponsor in its discretion. The ARV of each First Prize is $8.00. General Prize Terms and Conditions. The total ARV of all prizes is $7,980. The actual value of each prize depends on market conditions at time of fulfillment. The prizes will be awarded if properly claimed. No substitution, cash redemption or transfer of the right to receive a prize is permitted, except in the discretion of Sponsor, which reserves the right to substitute a prize (or a component thereof) with a prize or prizes of equal or greater value. Prizes consist only of those items expressly specified in these Official Rules as being part of the prize. All prize details will be determined by Sponsor in its discretion. All expenses and costs associated with the acceptance or use of any prize that are not expressly specified in these Official Rules as being part of the prize are the responsibility of the winner. Restrictions may apply. Prizes are awarded "as is" and without any warranty, except as required by law. GRANT OF RIGHTS: By entering the Contest, each entrant irrevocably grants permission to Sponsor and each of its parent companies, affiliates, subsidiaries and successors, and each of their agents and licensees (all of the foregoing, the "Contest Entities") to use and authorize the use of the entrant's name, biographical information, likeness and Submission for purposes of advertising, trade and other commercial purposes and for any other purpose, in all media and formats whether now or later known or developed, throughout the world in perpetuity, without further notice or compensation, unless prohibited by law. GENERAL RULES: Sponsor reserves the right to modify these Official Rules or to modify, suspend or terminate the Contest at any time in its discretion, including without limitation in the event of any changes to the terms applicable to the use of Facebook. Sponsor reserves the right, in its sole and absolute discretion, and without prior notice, to adjust any of the dates and/or timeframes stipulated in these Official Rules, to the extent necessary, for purposes of verifying compliance by any entrant or Submission with these Official Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of Sponsor, in its sole and absolute discretion, affect the proper administration of the Contest as contemplated in these Official Rules, or for any other reason. The Released Parties are not responsible for late, lost, delayed, illegible, damaged, corrupted or incomplete entries, incorrect or inaccurate capture of, damage to, or loss of Submissions, entries or entry information, or any other human, mechanical or technical errors of any kind relating to the submission, collection, storage or processing of Submissions or entries or the administration of the Contest. Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend this Contest should a virus, bugs, technical problem, entrant fraud or misconduct, or other cause beyond the control of the Sponsor corrupt the administration, integrity, security or proper operation of the Contest or if for any other reason Sponsor is not able to conduct the Contest as planned (including without limitation in the event the operation of the Contest is interfered with by any fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or of public enemy, communications failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, federal, state, provincial/territorial or local law, order or regulation or court order). In the event of termination of the Contest, a notice will be posted and winners selected in accordance with the procedures set forth in these Official Rules from among all eligible entries received prior to the time of termination to award any remaining prize. Each entrant must comply with all terms and conditions applicable to the use of Facebook. All federal, state, provincial/territorial and local laws and regulations apply. All entry materials become the property of Sponsor and will not be verified or returned. By participating in this Contest, entrants agree to be bound by the Official Rules and the decisions of Sponsor and the judges, which are final and binding in all respects. These Official Rules may not be reprinted or republished in any way without the prior written consent of Sponsor.

  10. DISPUTES: By entering the Contest, each entrant agrees that, to the maximum extent permitted by applicable law, (a) any and all disputes, claims, and causes of action arising out of or connected with the Contest, or any prize(s) awarded, shall be resolved individually, without resort to any form of class action (Note: Some jurisdictions do not allow restricting access to class actions. This provision will not apply to you if you live in such a jurisdiction.); and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event attorneys' fees; and (c) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim, punitive, exemplary, special, incidental, indirect, or consequential damages or any other damages (whether due to negligence or otherwise), and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrants and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with the laws of the State of Florida in the United States of America without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of the laws of any jurisdiction other than the State of Florida. Any legal proceedings arising out of this Contest or relating to these Official Rules shall be instituted only in the federal or state courts located in the State of Florida, waiving any right to trial by jury, and each entrant consents to jurisdiction therein with respect to any legal proceedings or disputes of whatever nature arising under or relating to these rules or the Contest. In the event of any conflict between these Official Rules and any Contest information provided elsewhere (including but not limited in advertising or marketing materials), these Official Rules shall prevail. All Entries are subject to verification at any time.

  11. USE OF INFORMATION: Sponsor and/or its agents or contractors will collect personal information regarding Contest entrants, in accordance with Sponsor's privacy policy at http://www.redlobster.com/legal/privacy.asp or http://www.redlobster.ca/legal, as applicable. By entering the Contest, each entrant expressly consents to Sponsor, its agents and/or representatives storing, sharing and using the personal information submitted in connection with his/her entry for the purpose of administering the Contest and in accordance with Sponsor's privacy policy and acknowledges that the entrant has read and accepted Sponsor's privacy policy. Entrants are providing information to Sponsor and not to Facebook.

  12.
